Terms and conditions for Instagram giveaways (“Terms and Conditions”)

1. Subject of the terms and conditions of participation and organizer

  • These terms and conditions govern participation in prize draws conducted on the Instagram page of seasonax GmbH ( @seasonax.app ). The specific description and procedure of each prize draw are provided in the respective Instagram post (prize draw post and/or prize draw story).

  • Participation in any competition is free and independent of the purchase of goods or services from Seasonax or the payment of any fee.
  • By participating in the respective competition, participants accept these terms and conditions.
  • This giveaway is in no way affiliated with, sponsored by, endorsed by, or administered by Meta and/or Instagram. Seasonax is solely responsible. Participants release Meta and Instagram from any liability in connection with this giveaway.

2. Participation

  • Natural persons who have reached the age of 18 and reside in an EU member state or Switzerland are eligible to participate.
  • Employees of Seasonax and partner companies, as well as other persons involved in the conception and implementation of the competition, are excluded from participation.
  • Participation with fake identities or using the identities of third parties is not permitted. The same applies to participation via sweepstakes services, automated scripts, bots, or similar tools.
  • Eligible participants can enter the competition by doing what is described in the competition post:
    • Follow the Instagram account (@seasonax.app),
    • Like the competition post and
    • Tag at least one person in a comment under the competition post.

The specific method of participation may vary or be supplemented in the respective competition post (e.g., answering a quiz question). The information provided there is authoritative.

3. Deadline for participation

  • The participation period (start and end of the competition) will be specified in the respective competition post.
  • For participation to be considered timely, the decisive factor is the time of receipt of the participation action ( comment, like) on Instagram. Entries submitted after the participation deadline will not be considered.

4. Prizes, prize determination and prize notification

  • The type and scope of each prize are detailed in the competition entry. Any additional costs (e.g., shipping costs) will be covered by Seasonax unless explicitly stated otherwise in the entry.
  • The winners will be randomly selected from all valid entries for each competition entry. The draw will take place within a few days after the respective entry deadline for the competition entry has passed.
  • The prizes can be divided into material prizes and cash prizes.
  • The prizes are provided by the following partner companies:
    • ASW Fintech GmbH

(“ Partner companies ”).

  • Any shares depicted as prizes will not be transferred to a winner, but will be paid out exclusively in cash. The decisive factor is the published closing price of the respective share on the day before the publication of the respective competition post on the stock exchange mentioned in the competition post. The winner will receive a cash amount in EUR equal to this published closing price per drawn share, which will be converted to EUR based on the exchange rate published by the European Central Bank on the day before the publication of the respective competition post, and transferred to the account provided by them. The winner has no claim to the transfer of the share itself.
  • The winners will be notified via direct message (Instagram Direct Message and/or email).
  • Winners are required to contact Seasonax within four weeks of notification and provide the necessary information for prize fulfillment (e.g., name, postal address, email address). If no response is received within this period, the prize will be forfeited without substitution, and a replacement winner may be determined using the same procedure. The same applies if the prize cannot be delivered to the specified delivery address within four weeks of shipment.
  • Cash payment of prizes and transfer or exchange of any prizes is excluded.
  • Should a prize not be available for reasons beyond Seasonax’s control (e.g., delivery problems from partner companies), Seasonax is entitled to provide a suitable replacement prize of the same or higher type and quality.

5. Exclusion from participation

  • A violation of these terms and conditions of participation entitles Seasonax to exclude participants from participation at any time. This applies in particular to
    • false or incomplete information,
    • Manipulation or attempted manipulation of a prize draw,
    • Use of unauthorized tools (e.g. bots),
    • Posts (e.g., comments, images) or content that violate applicable law, third-party rights, meta guidelines, Instagram guidelines, or generally accepted standards of conduct, in particular content that
      • are offensive, discriminatory, glorify violence, are pornographic or extremist, and/or
      • infringe the rights of third parties (e.g. copyright, trademark, personality rights).
  • If the excluded person is an already drawn winner, the prize can be subsequently revoked and a replacement winner determined.

6. Early Termination and Amendments

  • Seasonax reserves the right to terminate, suspend or amend the competition prematurely, in whole or in part, at any time, even without prior notice (for participants who have not yet taken part in the competition), if proper execution of the competition cannot be guaranteed for technical (e.g. viruses, manipulation, errors in hardware or software) or legal (e.g. prohibition by Meta/Instagram or authorities) reasons.
  • Participants have no claim to the execution of the competition, to a specific design, or to the prize.

7. Warranty Disclaimer/Liability

  • Seasonax makes no guarantee that the profits are free from defects and excludes any warranty and guarantee commitments.
  • Seasonax is liable only to the extent that damage was caused by Seasonax’s gross negligence or willful misconduct. Seasonax’s liability for ordinary negligence is excluded, unless the damage results from a breach of a fundamental contractual obligation. Liability for personal injury remains unaffected.
  • Seasonax accepts no liability for the content of external links. The operators of the linked websites are solely responsible for their content.
  • Seasonax’s obligation ends upon handover of the prize.

8. Final Provisions

  • Austrian law applies, excluding the conflict-of-laws rules of private international law. Mandatory consumer protection provisions of the state in which the participants have their habitual residence remain unaffected.
  • Legal recourse is excluded with regard to the drawing of the winners and the related assessment of the submitted entries.
